The terms that govern your use of merittc.com.

These Terms of Service (“Terms”) govern your use of the merittc.com website operated by Merit Technology Consultants (“Merit,” “we,” “us,” or “our”). By accessing or using this website, you agree to be bound by these Terms. If you do not agree, please do not use the site.

1. About These Terms

These Terms apply to your use of the merittc.com website only. They do not govern the services we provide to our clients. If you engage Merit Technology Consultants for managed IT, security, AI services, VoIP, cloud and backup, or any other professional service, the terms of that engagement will be set out in a separate written agreement between you and Merit. Nothing on this website constitutes a contract for services.

2. Permitted Use

You may use this website to learn about Merit Technology Consultants, our services, and our team; to contact us with inquiries; and for related personal or legitimate business research purposes.

You may not:

  • Use automated tools (scrapers, crawlers, bots) to extract content at scale, except for compliant search-engine indexing.
  • Attempt to gain unauthorized access to any portion of the site, our infrastructure, or other users' information.
  • Probe, scan, or test the vulnerability of the site or its supporting systems without our prior written authorization.

All content on merittc.com, including text, graphics, photographs, illustrations, layouts, the Merit EKG mark, and the “MERIT TECHNOLOGY CONSULTANTS” wordmark, is owned by Merit Technology Consultants or licensed to us, and is protected by United States copyright, trademark, and other intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the site for the permitted purposes described above. This license does not include any right to reproduce, modify, distribute, or create derivative works from our content.

If you submit feedback, suggestions, or comments to us (through the contact form or otherwise), you grant Merit a non-exclusive, royalty-free, worldwide license to use that feedback for the purposes of operating and improving our business.

4. Contact Form Submissions

When you submit information through our contact form, you represent that the information is accurate, that you are authorized to share it, and that you are not submitting information about another person without their consent.

We will use your submission as described in our Privacy Policy.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Merit Technology Consultants, its officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of this website, even if we have been advised of the possibility of such damages.

In any case where liability cannot lawfully be excluded, our aggregate liability to you for any claim arising out of or related to your use of this website is limited to one hundred U.S. dollars (US$100).

This limitation does not apply to liability that cannot be limited under Texas law.

You agree to defend, indemnify, and hold harmless Merit Technology Consultants and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of the website will be brought exclusively in the state or federal courts located in Harris County or Montgomery County, Texas, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the Effective Date at the top and post the revised Terms at merittc.com/terms. Your continued use of the site after we post revised Terms constitutes acceptance of those changes.

12. Severability and Entire Agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Merit Technology Consultants regarding your use of the website.
